Arc-Fi Affiliate Agreement

1. Parties, appointment and status

1.1 Parties. This Agreement is between Arc-fi Limited, a BVI business company incorporated in the British Virgin Islands on 20 January 2025, company number 2167834, with its registered office at Qwomar Trading Complex, Blackburne Road, Port Purcell, Road Town, British Virgin Islands, VG1110 (“Arc-Fi,” “we”), and the person or entity accepting it (“Affiliate,” “you”). It takes effect on the date you accept it electronically.

1.2 Appointment. Arc-Fi appoints you as a non-exclusive, independent affiliate to promote Arc-Fi products and refer customers, using the links and materials Arc-Fi provides. The appointment is personal to you and is not a franchise, distributorship, territory or protected market.

1.3 Independent contractor. You are an independent contractor, not an employee, agent, partner or joint venturer of Arc-Fi. You:

control your own hours, methods and expenses;

pay your own taxes, licences and business costs;

receive no salary, benefits, insurance, workers’ compensation or reimbursement;

may promote other products, as long as you do not promote a competing crypto trading platform under Section 5.

1.4 No authority. You may not sign anything, take on obligations, open accounts, make promises or speak for Arc-Fi. Nothing you say binds Arc-Fi, and you must not describe yourself as staff, a representative, an advisor or an employee. Acceptable title: “independent Arc-Fi affiliate.”

1.5 No territory or exclusivity. Arc-Fi may appoint other affiliates anywhere, sell directly, and change or discontinue products at any time.

1.6 Not investment advice or an offer. You are not authorised to give financial, investment, legal or tax advice, and you are not authorised to offer, solicit or accept any investment on Arc-Fi’s behalf.

2. Eligibility, enrollment and term

2.2 Accurate information. You must give accurate legal name, address, tax identification and payment details, and keep them current. Arc-Fi may verify your identity and may hold or refuse payment until verification is complete.

2.3 One account. One affiliate account per person or household, unless Arc-Fi approves otherwise in writing. You may not enroll under a second identity, a relative’s name or an entity you control to manipulate placement or compensation.

2.4 Entity accounts. If you enroll through a company or trust, you sign personally as well and remain personally responsible for compliance under this Agreement.

2.5 No purchase required.

2.6 Term. This Agreement runs for 12 months from acceptance and renews automatically for successive 12-month terms unless either side ends it under Section 7.

3. Your obligations

3.1 Policies incorporated. The Arc-Fi Affiliate Marketing Compliance Policy and the Member Content Protection Policy are part of this Agreement. Breaking either one breaks this Agreement.

3.2 No income or return claims. You will not state or imply any rate of return, profit, income, “passive income,” guaranteed result or return of capital, in any channel, including private messages. You will not post account balances, profit and loss figures, win rates or trade results.

3.3 Education only. You will present Arc-Fi materials as educational, include the required disclaimers, and disclose your affiliate relationship clearly and near any claim, as the FTC requires.

3.4 No advice, no custody. You will not give buy, sell or hold recommendations, manage anyone’s account or funds, accept anyone’s money, or ask for or accept anyone’s recovery phrase, private keys or exchange credentials.

3.5 Lawful marketing. You will comply with all applicable laws, including securities, consumer protection, advertising, anti-spam and privacy laws, and with the terms of every platform you post on. You are responsible for knowing the rules in the places you market.

3.6 Approved materials only. You will use Arc-Fi materials unaltered and only as Section 5 allows, send traffic only to your assigned links, and never build a site, page or handle that could be mistaken for an official Arc-Fi property.

3.7 Your team. If you build a team, you are responsible for training them on these rules, and for correcting or reporting violations you become aware of.

3.9 Cooperation. If Arc-Fi receives a complaint or a regulatory inquiry about your marketing, you will provide copies of the material, take it down when asked, and cooperate with the review.

4. Compensation

4.1 What you are paid for. Arc-Fi pays commissions on qualifying sales of Arc-Fi products to genuine end customers, tracked through your assigned link or code. Commissions are not paid for enrollment alone, for recruitment alone, or on any amount a customer deposits, invests or places on the platform.

4.4 Chargebacks and clawbacks. If a sale is refunded, charged back, or found to be fraudulent, self-referred or made through prohibited marketing, the related commission is reversed and may be deducted from future payouts or invoiced to you.

4.6 Self-referrals. You may not earn commissions on your own purchases or on purchases by your household, unless Arc-Fi permits it in writing.

4.7 Taxes. You are responsible for all taxes on your commissions. Arc-Fi will issue a Form 1099 or the local equivalent where required, and may withhold where law requires it. You must provide a valid W-9 or W-8 before payment.

4.8 No guarantee. Arc-Fi makes no representation that you will earn anything. Most affiliates in this industry earn little or nothing.

5. Intellectual property, confidentiality and data

5.1 Licence to you. Arc-Fi grants you a limited, revocable, non-exclusive, non-transferable licence to use Arc-Fi names, logos and approved materials solely to promote Arc-Fi during the term, exactly as provided. No other rights are granted.

5.2 Arc-Fi’s property. Arc-Fi owns all its trademarks, content, videos, training, software and materials, and all copies of them. Nothing here transfers ownership.

5.3 Restrictions. You may not record, screen capture, download, re-upload, edit, translate, resell or build derivative works from Arc-Fi content; register or use Arc-Fi names in a domain, handle, app, ad account or entity name; bid on Arc-Fi trademarks in paid search; or remove any watermark or member identifier.

5.4 Your content. You own what you create yourself. By posting it you grant Arc-Fi a non-exclusive, royalty-free licence to reuse it for training and compliance examples, with attribution where practical.

5.6 Lead and customer data. Contact details captured through Arc-Fi capture pages are collected for Arc-Fi and are jointly used under Arc-Fi’s privacy policy. You may not sell, rent, export for another business, or upload that data to any third-party tool Arc-Fi has not approved. You will honour every unsubscribe and opt-out request, promptly.

5.8 Security incidents. Tell Arc-Fi within 24 hours if your account is compromised or lead data is exposed.

6. Representations, indemnity and liability

6.1 Your representations. You represent that you are eligible to enter this Agreement, that the information you provide is accurate, that you will market lawfully and truthfully, and that you hold any licence or registration your own activities require.

6.2 Indemnity. You will defend, indemnify and hold harmless Arc-Fi, its officers, employees and affiliates against any claim, demand, investigation, penalty, loss or cost, including reasonable legal fees, arising from your marketing, your statements, your breach of this Agreement or the policies, your use of customer data, or your violation of any law. This survives termination.

6.3 Arc-Fi’s disclaimers. Arc-Fi products and materials are provided “as is,” for educational purposes. Arc-Fi disclaims all implied warranties, including merchantability and fitness for a particular purpose, to the extent the law allows. Arc-Fi does not guarantee uptime, results, earnings, or the performance of any digital asset.

6.4 Trading risk. Digital asset trading involves substantial risk, including total loss. Arc-Fi does not provide financial, investment, legal or tax advice, and nothing in the products is a recommendation to buy, sell or hold anything.

6.6 Your own losses. Arc-Fi is not responsible for your marketing costs, advertising spend, banned ad accounts, closed social accounts, or losses you take trading.

7. Termination

7.3 By Arc-Fi for cause, immediately. Arc-Fi may suspend or terminate immediately for: income or return claims; giving investment advice; recording or redistributing Arc-Fi content; impersonating Arc-Fi; taking customer funds or credentials; fraud, including fake accounts or self-referrals; promoting to minors; or any conduct that exposes Arc-Fi to legal or regulatory risk.

7.4 Effect of termination. Within 5 business days you must stop presenting yourself as an affiliate, remove all Arc-Fi branding, content and links from every channel you control, stop using Arc-Fi materials, and delete confidential material in your possession. Your back office access ends.

7.5 Commissions after termination. Commissions earned but unpaid at termination are paid on the normal schedule, less any chargebacks or amounts you owe. If Arc-Fi terminates for cause under 7.3, unpaid commissions are forfeited to the extent the law allows. You have no right to future or residual commissions after termination.

7.6 Suspension. Arc-Fi may suspend your account and hold commissions while it investigates a suspected violation, and will tell you what is being reviewed.

7.8 Survival. Sections 5, 6, 7.4 to 7.5 and 8 survive termination.

8. Disputes and general terms

8.1 Governing law. This Agreement is governed by the laws of the British Virgin Islands, without regard to conflict of law rules.

8.3 Class action waiver.

8.5 Assignment. You may not assign this Agreement or your account, including by sale, gift or inheritance, without Arc-Fi’s written consent. Arc-Fi may assign it freely.

8.6 Entire agreement. This Agreement, the compensation plan and the compliance policies are the whole agreement, and replace anything said by an upline, a recruiter, or in any presentation. Nobody at Arc-Fi can vary these terms verbally.

8.7 Severability. If any provision is unenforceable, the rest stays in force.

8.8 No waiver. Arc-Fi not enforcing a term once does not waive it.

8.9 Force majeure. Neither party is liable for delays caused by events outside its reasonable control, including outages, exchange failures, and regulatory action.

8.10 Electronic acceptance. You agree to contract electronically, and your click-acceptance has the same effect as a signature.

9. Acceptance

Acceptance. By checking the box you confirm that you have read this Agreement and the compliance policies, that you are at least 18, and that you accept these terms.
